1. About these Terms

These Website Terms of Use govern your access to and use of websites, reports, articles, case studies, presentations, forms, tools, and other digital materials made available by Mexico Energy Partners LLC.

In these Terms, "Mexico Energy Partners," "MEP," "we," "our," and "us" refer to Mexico Energy Partners LLC. "Website" refers to any website or digital service operated by or on behalf of MEP that links to these Terms.

By accessing or using the Website, you agree to these Terms. If you do not agree, you should not use the Website.

If you use the Website on behalf of a company or other organization, you represent that you are authorized to act on its behalf.

2. About Mexico Energy Partners

Mexico Energy Partners LLC is an independent energy advisory firm serving industrial and commercial organizations in Mexico.

Our work includes energy procurement, qualified supply and power purchase agreement advisory, energy audits, onsite solar and battery storage evaluation, energy management, project review, market research, and related services.

3. General information only

Unless expressly stated otherwise in a signed agreement, the information available through the Website is provided for general informational and business-development purposes.

Website content does not constitute:

Engineering, technical, legal, regulatory, tax, accounting, financial, investment, environmental, safety, or insurance advice
A certified energy audit or engineering opinion
A recommendation to enter into a particular supply agreement, PPA, financing arrangement, equipment purchase, or capital project
A guarantee of savings, eligibility, performance, reliability, regulatory approval, interconnection, financing, or project completion
An offer, commitment, or binding proposal to provide services

Energy regulations, tariffs, market conditions, technology costs, facility operations, and project economics may change. Information that was accurate when published may later become incomplete or outdated.

You should obtain advice based on your organization's actual facilities, contracts, consumption data, operating requirements, and risk profile before making a decision.

4. No advisory or client relationship

Accessing the Website, downloading a document, subscribing to communications, submitting a form, attending a general webinar, or communicating with MEP does not by itself create a client, adviser, engineer, fiduciary, agency, or other professional relationship.

A client relationship begins only when MEP and the client enter into a written agreement signed by authorized representatives.

Proposals, statements of work, engagement letters, nondisclosure agreements, subscription agreements, or other written contracts may contain terms that differ from these Website Terms. The applicable signed agreement will govern the services covered by that agreement.

5. Accuracy and use of information

MEP seeks to provide useful and well-supported information. However, we do not warrant that Website content is complete, current, accurate, or suitable for any particular purpose.

Forecasts, estimates, savings calculations, regulatory interpretations, market views, and forward-looking statements depend on assumptions and information available at the time of preparation. Actual outcomes may differ materially.

Case studies describe particular circumstances and historical results. They do not guarantee that another organization, facility, or project will achieve comparable results.

7. Intellectual property

The Website and its content, including text, research, analyses, methodologies, models, graphics, designs, photographs, videos, reports, presentations, databases, logos, service names, and software, are owned by or licensed to MEP.

These materials are protected by copyright, trademark, database, trade-secret, and other intellectual-property laws.

"Mexico Energy Partners," associated logos, product names, service names, and related brand elements may not be used without prior written permission.

You may not remove or obscure ownership, copyright, attribution, confidentiality, or proprietary notices appearing on any material.

No access to the Website transfers ownership of any intellectual property to you.

8. Research, reports, and downloadable materials

Certain reports, presentations, guides, tools, and other resources may be subject to additional notices or usage restrictions displayed on the material or provided at the time of access.

Unless MEP expressly agrees otherwise in writing:

Materials are licensed to the recipient for internal business use
Materials may not be resold, republished, or distributed externally
Data and analysis may not be incorporated into a commercial database or competing service
Substantial portions may not be used to train, test, or develop an artificial intelligence or machine-learning system
Materials may not be presented to third parties as an engineering certification, legal opinion, investment recommendation, or regulatory determination

If a signed client or subscription agreement applies to a particular report or service, that agreement controls.

9. Information submitted to MEP

When you submit information through the Website, you represent that:

The information is accurate to the best of your knowledge
You are authorized to provide it
Providing it does not violate any contract, confidentiality obligation, law, or third-party right
MEP may use it to evaluate and respond to your inquiry

You grant MEP a limited right to review, reproduce, store, and share submitted information internally and with appropriate advisers or service providers solely as reasonably necessary to respond to your request, evaluate an opportunity, or provide requested services.

Information submitted through the Website will be handled in accordance with our Privacy Notice. Separate contractual confidentiality obligations arise only when agreed in writing, including through a nondisclosure agreement or client agreement.

Do not submit passwords, payment-card information, sensitive personal data, trade secrets, export-controlled information, or other highly restricted materials through a general website form.

MEP may decline to review unsolicited proposals, technical concepts, financing opportunities, employment applications, or other submissions.

MEP may restrict or terminate access if it reasonably believes these Terms have been violated.

16. Limitation of liability

To the fullest extent permitted by law, MEP and its directors, officers, employees, contractors, affiliates, advisers, and licensors will not be liable for:

Loss of profits, revenue, business, contracts, opportunities, production, anticipated savings, data, or goodwill
Operational interruption, equipment failure, energy-price exposure, regulatory consequences, project delay, or lost production
Indirect, incidental, special, exemplary, punitive, or consequential damages
Losses arising from reliance on general Website content
Losses resulting from third-party websites, services, information, or conduct
Unauthorized access, malware, communication failures, or events outside MEP's reasonable control

These limitations apply regardless of the legal theory asserted and whether the possibility of loss was known or foreseeable.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, willful misconduct, or any liability that cannot lawfully be excluded or limited.

Limitations applicable to paid services will be governed by the relevant signed agreement.

17. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless MEP and its directors, officers, employees, contractors, affiliates, and licensors from claims, losses, liabilities, and reasonable expenses arising from:

Your unlawful or unauthorized use of the Website
Your material breach of these Terms
Information or material you submit without sufficient authority
Your infringement of another person's intellectual-property, privacy, confidentiality, or other rights
Malicious activity conducted through your device, account, or systems

This provision does not apply to the extent a claim results from MEP's own fraud, willful misconduct, or liability that cannot lawfully be excluded.

18. Changes to these Terms

MEP may update these Terms to reflect changes in its Website, services, legal obligations, or business practices.

The current version will be posted on the Website with the date of the most recent update. Changes become effective when posted unless a later date is stated.

Your continued use of the Website after the effective date constitutes acceptance of the revised Terms to the extent permitted by law.

19. Governing law and jurisdiction

These Terms, their formation, and any dispute or noncontractual claim arising from them are governed by the laws of the State of New York, without regard to conflict-of-law principles.

Subject to any mandatory law that applies, the state and federal courts located in New York County, New York will have exclusive jurisdiction over disputes arising from these Terms.

MEP may seek injunctive or protective relief in any court with appropriate jurisdiction to protect its intellectual property, confidential information, systems, or security.

This section does not override governing-law or dispute-resolution provisions contained in a signed client agreement.

20. General provisions

If a provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions will continue in effect.

A failure or delay in enforcing a right does not waive that right.

You may not assign your rights or obligations under these Terms without MEP's written consent. MEP may assign these Terms in connection with a reorganization, merger, acquisition, financing, or transfer of business assets.

These Terms, together with the Privacy Notice and any additional terms presented for a particular resource, constitute the agreement governing your general use of the Website.

The English and Spanish versions are intended to have the same meaning. If an inconsistency arises, the English version will control to the extent permitted by applicable law.
